Disney buys out Marvel Entertainment!

Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company has agreed to acquire Marvel Entertainment, Inc. in a stock and cash transaction, the companies announced today.

Under the terms of the agreement and based on the closing price of Disney on August 28, 2009, Marvel shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.

Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.

“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”

“We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation,” Iger said.

“Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses,” said Ike Perlmutter, Marvel’s Chief Executive Officer. “This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney’s tremendous global organization and infrastructure around the world.”

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.

The Boards of Directors of Disney and Marvel have each approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, effectiveness of a registration statement with respect to Disney shares issued in the transaction and other customary closing conditions. The agreement will require the approval of Marvel shareholders. Marvel was advised on the transaction by BofA Merrill Lynch.

UPDATE #1: In a conference call, the companies said that the deals for movies for characters at other studios (Spider-Man, X-Men, etc.) will stay in place under the terms set by Marvel and the other studios.

UPDATE #2: John Lasseter met with Marvel last week about a possible team-up between Marvel and Pixar and got "pretty excited, pretty fast." They say there's definitely an opportunity there.

UPDATE #3: The deal with Paramount Pictures to distribute "Iron Man 2," "Thor," "Captain America" and "The Avengers" stays in place as well, but Disney would like to self-distribute down the line. "When the time comes we'll take a closer look at it."


What the..? Does this mean Wolverine will have Mickey ears now? I sure hope not... Disney could help alot with the budget of the movies, though.

I'm a little shocked about this, though. I just hope they don't ruin the characters by making them all kid friendly. That's the only thing I worry about. and hopefully no crossover with disney characters in the live action films, that'd be retarded. I dunno how I feel about this yet.

O don't be silly. Disney ain't as worse like 4Kids. They don't have anything worthwhile to be mentioned since their arrival.
That at least, could be said about Disney. Yet, what benefit would they gain from adding Marvel to their collection.

The only benefit I see is bigger budget.

If they just distribute the movies it'll be fine. If they go around messing with the script. Marvel is doomed.

I actually think it might not be so bad if Marvel DID do something with Pixar under Disney...Sure, it might not be as good a movie as the others, but a CGI Marvel movie would be pretty cool...After all, they already have a few CGI Marvel cartoons like Iron Man: Armored Adventures, and I don't think they're too bad.

I say it's a make-or-break move. I'm sure they can pull it off (being as I work for the WDC and haven't been laid off from the recession), but if they don't... No. Just no...

On the flip side, I don't really want to see any Marvel-themed rides at DHS (Disney's Hollywood Studios, one of the theme parks at their Florida resort)
Indeed, there is nothing more repulsive than these monsters that defy nature and are known by the name of witcher, as they are the offspring of foul sorcery and witchcraft. They are unscrupulous scoundrels without conscience and virtue, veritable creatures from hell capable only of taking lives. They have no place amongst decent and honest folk.

I still can't use this.

The people who entertain the notion that this will definitely result in the unnecessary injection of Barney culture into Marvel's properties probably don't know how big of a conglomerate Disney really is.

A fun little fact: Did you know that Disney owns the companies that made and/or distributed Reservoir Dogs, Pulp Fiction, The Kill Bill series, No Country For Old Men, Doubt, Armageddon, Enemy of the State, Gone in Sixty Seconds, Coyote Ugly, and whole host of other films that are unsavory for kids?

Believe me, that Captain America movie that will undoubtedly come down the line will not have him skipping through the field with Red Skull. In fact, nothing major will probably come of this at all minus some interesting film projects and a further solidification of Disney's absolutely stranglehold in the entertainment industry.

To be honest I'm not that worried about Disney dumbing down Marvel properties much, either. Kids already love Spiderman and all the other Marvel superheroes half to death. There's really not much of a need to dumb them down any more.

Let's just hope they let all the Marvel writers and whatnot stay aboard. My bigger fear is Disney taking creative control of the Marvel properties themselves and changing things that really should be left alone.

And on a more personal note...I'm a little worried about what's going to happen to the Marvel Island section of Islands of Adventure at Universal Studios in Orlando, Florida. That place kicks ass, especially the Spiderman ride. But Disneyworld is their crosstown rival..

Two people agreeing to do something together doesn't necessarily make it a good thing. This looks like it will be a big shake-up in the entertainment world, and I am a bit worried about what the effects will be in the long run.

But to be honest, I do know Disney is smart about it's business...so what I'm hoping they do is keep it business as usual with the Marvel properties. Seems likely enough, since they just want the fanbase for the Marvel characters.
